We assist with corporate compliance and prepare bylaws, partnership agreements, and operating agreements. We also litigate them, together with claims of breach of fiduciary duty, conflict of interest, conversion, fraud and more.  

Commercial

We draft, negotiate, and litigate contracts, and prosecute and defend claims of commercial fraud, breach of express and implied warranties, construction matters, insurance coverage, unlawful competition and false advertising disputes, interference with contract, and more.

Real Estate

We handle disagreements arising out of commercial leases, and litigate property damage claims, purchase and sale agreements, statutory disclosure requirements, and claims of quiet title, slander of title, adverse possession, and more.

Employment

We represent employees who have been wrongly terminated, discriminated against, and deprived of their lawful wages and defend our corporate clients when they been wrongly accused of such conduct. We also negotiate employment agreements, including issues related to severance pay, parental leave, and bonus compensation.

Intellectual Property

We obtain and challenge trademarks, develop and maintain intellectual property portfolios, and litigate trademark, trade dress, and other IP matters.

First Amendment/Defamation

We pursue and defend claims of defamation, libel, slander, trade libel and assert and respond to motions made pursuant to California's anti-Strategic Lawsuit Against Public Participation (SLAPP) law.
